If at 40 you have $300000. How are you going to retire on that?!? If you spend $40,000 per year, that will only last 7.5 years. That doesn't sound like a very good retirement to me. To retire comfortably in the "big city" (NYC, LA, CHI, etc) and you retire at age 65, you need about $1,000,000 ($50K per year for 20 years). If you retire before that, obviously you would need significantly more.

It sounds like you need to learn about investing. Start reading Warren Buffet or Stanley (millionaire next door) books.

Regarding a 401K - it depends. The best things about a 401K is
1) the tax breaks = that money is contributed on a pre-tax basis so if you made $60K but put $15.5K (current max) into a 401K, you are only taxed on the $44.5K and that is a BUNCH of tax savings, plus you get to keep the $15.5K. The money is taxed when it is withdrawn but the premise is that at that point you are at a lower tax bracket, so there is less taxation.
2) any employer matching - it's free money if your employer gives any matching funds.

Right now, depending on the your employer match, I would put my money into a ROTH IRA before a 401K. The money is after tax but any growth is untaxed. If you have extra money after the $5K ROTH then I would contribute to the traditional 401K.
