It very much depends on what terms you are with your boss and how well you know him. If you are on friendly terms with him and you know he was fond of his father:

Dear Peter,
I was very sorry to learn that your father has died. I know how attached to him you were and that his death will create a great void in your life. He was a good man, immensely respected, and will be greatly missed.
Please accept my heartfelt sympathy which also goes to all your family.
Yours sincerely,
Your Name

If you are more distant:
Dear Mr Smith,
It is with great regret that I have heard about the loss of your father. At this difficult time, I would like to express my deep sympathy for you and your family. Please accept my sincere condolences.
Your sincerely,
Your Name

It also depends on whether the death was sudden, in which case you can add something like " It must have been a terrible shock for you" after the first sentence. If you knew his father personally, you can write about a personal memory you have of him such as "He was very kind to me and I shall remember his.......(patience/ generosity/ sense of humour etc...)
"May he rest in peace" and "My prayers are with you" as a conclusion are only to be used if you know for certain that your boss is a religious person, and are better avoided if he is not.

When she talks to you let her reminisce about him;' too many times people get short with people after the shock has worn off and tell them to stop talking about the deceased when in point of fact it helps tremendously and helps closure.
