There are several steps required in this process. If you're serious, you probably want to register your business as a limited liability company. This makes it so if anybody ever sues you, they will only be able to sue for your company's property (money in the company account, company land, company equipment, etc...) rather than what your company owns and your personal belongings (your house, your personal savings, etc...).

Before you do that, however, you probably want to get a website, business cards, etc... You want the restaurants you approach to take you seriously, so you definitely want to look legitimate. Even if you are your only employee, you don't want the restaurants you approach to know that. There are several companies that sell packages that include a logo, website, business cards, and stuff like that. Most of them will charge a pretty penny (like a couple to a few thousand dollars), but a friend of mine got everything they needed from a site called BusinessesInABox.com for a REALLY good price and saw a significant difference in how the companies they approached responded to them.

After you get all of that done, you would want to get your business registered as an LLC. There is a site that explains all of the necessary steps and will even assist you for a very reasonable price. You might have heard of them: LegalZoom.com. That is where I registered my LLC and they have been very helpful.

Once you start selling to restaurants you will need legal documents (i.e. contracts, exclusivity agreements) for them to sign to protect yourself. You can find lawyers that will draft contracts for very reasonable prices at eLance.com. This way you don't end up paying as much as $100/hr for someone to draft a contract for you.

That's pretty much it. Then you contact the restaurants you had in mind and set up appointments for them to sample your product. After they decide they like it, you have them sign the proper contracts (like a 1 year agreement to sell your product) and supply them with your desserts. Easy as that.

I know it sounds like a lot, but you just have to start chipping away at it one piece at a time and you'll be successful before you know it. So to recap:

1) Get a logo, website, business cards, etc... so that companies take you seriously and are able to contact you easily if they have any questions.

2) Register your business as an LLC for your protection and tax benefits

3) Get some legal contracts drafted by a lawyer

4) Set up appointments with the restaurants you were interested in and demonstrate your product, make the sale, and provide them with the goods


Of course, there are several different ways to approach this, and you can pick and choose the steps you feel are necessary, but I've listed all of the appropriate steps to cover all of the bases. I hope this helps!

Just find a sample online and use it as a template to write your proposal. If you really don't feel comfortable doing it, hire someone to help. It's an important document and you want to be sure it's the best you can do.
